GENERAL
Section 1. Name
This organization shall be known as Vintage Thunderbirds of Kansas City, Inc. and may be referred to as “VTKC” or “Club” in this document. VTKC is a chapter of the Vintage Thunderbird Club International, Inc. (VTCI).
VTKC is a Kansas corporation.
Section 2. Purpose
VTKC is dedicated to the preservation, restoration and enjoyment of all Ford Thunderbirds. Our prime objective is to promote cooperation and social activity among members.
No member of this organization shall use his or her affiliation with the Club to promote business endeavors or personal gain. Use or distribution of the Club's membership roster for any reason is strictly forbidden except with the approval of the Board.

ARTICLE II
MEMBERSHIP

Section 1. Eligibility
VTKC shall not be limited to owners of automobiles described as "Vintage" Thunderbirds. All years of Thunderbirds are accepted. Thunderbird ownership is not a requirement for membership.
The Chapter is affiliated with VTCI. Members are strongly encouraged to join that organization.
Section 2. Application for Membership
Application for membership shall be in writing along with the appropriate dues for the current year, or part thereof, as established by the Club. Membership shall be a Family Membership, which includes both member and one other.
Section 3. Dues
Membership dues shall be established by the Board of Directors and paid annually in January.
Section 4. Voting
One (1) vote shall be allowed for each paid membership.
Section 5. Termination of Membership
Annual dues are to be received by January 31st. Non-paying members will be removed from the roster on March 31st and thereafter receive no newsletter or emails about Club activities. Non-members attending events will be asked to renew their membership per the Bylaw requirements. Reinstatement of membership will require a new application and the current year’s dues in full.

The fiscal year shall be January 1 thru December 31.
Section 2. Membership Meetings
The goal of the Club shall be to have a meeting or social event monthly during the fiscal year. Additional activities or meetings may be held at the discretion of the Officers and Board of Directors.
The annual meeting of the corporation shall be in January of each year. This meeting is of the membership (which includes Board Members).

The Board of Directors shall meet as deemed necessary to conduct the business of the Club. The President may call meetings of the Board as needed.

OFFICERS AND BOARD OF DIRECTORS

Section 1. Officers
The membership shall nominate, elect and install a President, Vice President, Secretary and Treasurer for a two-year term. The office of Secretary and Treasurer may be combined with Board approval.
Officers shall be elected in December of each odd year and take office in January of the even year.
The President shall appoint a Newsletter Editor, Web Master, and Membership Chairperson, who will be part of the Board of Directors.
Section 2. Duties of the Officers
The duties of the Officers shall be such as their titles would indicate, as required by law, and as such may be assigned to them respectively by the Board of Directors.
The Vice President shall serve as the Event Coordinator.
In the absence of the President or in the case of inability of the President to serve, the line of succession would be Vice President, Secretary, Treasurer.
The Treasurer shall receive and disburse funds upon the order of the President or the Board. A report of the financial condition of the Club shall be given to the President or Board of Directors when requested and annually to the membership. The Secretary shall keep the official minutes of the annual meeting.
The Board of Directors shall have the authority to require a Surety Bond of the Treasurer or any elected officer. The cost of which, if necessary, shall be paid from the Treasury.

The Board of Directors shall consist of the elected Officers and, shall also include the Immediate Past President and two other individuals to be appointed by the President. Newsletter Editor, Web Master and Membership Chairperson are ex-officio members of the Board of Directors.

The Board of Directors shall be the governing body of the organization. Disputes or major decisions shall be determined by the majority vote of the Board of Directors. The Board of Directors shall serve as an arbitration committee on any controversy.

VTKC shall maintain a checking account in a local financial institution.

No obligations or expenses shall be incurred and no money shall be appropriated or paid, except within regulations set forth by the officers and Board of Directors. Checks shall require only one signature of any one of the elected officers.

ARTICLE VI
DISSOLUTION
DISSOLUTION
Section 1. Dissolution
VTKC shall use its funds only to accomplish the objectives and purposes specified in the Bylaws or as proposed and agreed upon by the Board of Directors and approved by vote of the membership. In the event of the Club's dissolution, the Board of Directors would dictate the method by which any remaining funds are dissolved.

AMENDMENTS
AMENDMENTS
Section 1. Amendments
These Bylaws may be amended by the Board of Directors and then presented to the general membership for approval by majority vote of the members present at any regularly scheduled meeting.
